Anyone see a problem with using water based poly straight on a particle board to seal it?

No problema, but the first coat may raise the grain, depending on whether it comes from the factory raw or coated, so if you want a smooth finish, sand the first coat back a bit and give it a coat or two more. Waterborne is a good finish for it.
